Ahead of the formal notification of this year’s AGM, I wanted to give you some background to how the process will work this year. The AGM is planned for 23 September starting at 5pm. Due to the current COVID-19 situation, the AGM will be held virtually via Zoom. Daniel Hook will be in contact with all members of GBWR to provide details of how you can register on Zoom for the AGM.
The main business of the AGM is usually to present the Annual Report and Financial Statements and any Resolutions. The restrictions imposed by the COVID-19 lockdown have delayed our auditors from starting their work on our accounts and, as such, the Annual Report and Financial Statements for 2019-20 will not be available until the end of the year.
There is however other important business to conduct. In particular there will be a Special Resolution to modify the Articles of Association relating to the composition of the Board of Trustees, in order to allow more flexibility to appoint independent individuals with important skills and experience which will benefit GBWR and its members. Further details will be provided in the formal AGM notification.
The 23 September AGM will also provide the opportunity to say farewell to our current Chair, Kevin Aitchison, and to Trustees: Vice Chair Mike Spence, Simon Le Fevre, Andrew Flatt and Suzy Christopher; as well as for members to be introduced to their successors: Ed Warner as Chair, and Paula Dunn, Kate Clayton, Chris Conway and Sam Seddon. Members will also be able to propose other resolutions in the normal way – details of how to do this will be provided with the formal notification documentation.
Once the AGM has dealt with all notified business on 23 September, the Chair will adjourn the meeting and it will recommence at a date to be agreed in December, in order to consider the 2019/20 Annual Report and Financial Statements and AOB.
